Changes to the terms of any contract will be effective only if agreed to in writing. If any agreed change increases the time or cost to AMG of contract execution, the contract and\/or price will be adjusted accordingly.<\/p><p>No variation to these conditions shall be binding unless agreed in writing between the authorised representatives of the Buyer and the Seller.<\/p><p>Orders from Buyer are only binding on AMG after written notice of the order has been issued and only pursuant to the terms set forth in the Order Acknowledgment.<\/p><p>The Seller\u2019s employees or agents are not authorised to make any representations concerning the Goods unless confirmed by the Seller in writing. In entering into the Contract, the Buyer acknowledges that it does not rely on, and waives any claim for breach of, any such representations which are not so confirmed.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6fd93f4 elementor-widget elementor-widget-heading\" data-id=\"6fd93f4\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">ORDERS AND SPECIFICATIONS<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6cc466f elementor-widget elementor-widget-text-editor\" data-id=\"6cc466f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<ul><li>No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in Writing.<\/li><li>The Buyer shall be responsible to the Seller for ensuring the accuracy of the terms or any order (including any applicable specification) submitted by the Buyer, and for giving the Seller any necessary information relating to the Goods with sufficient time to enable the Seller to perform the contract in accordance with its terms.<\/li><li>The quantity, quality, and description of and any specification for the Goods shall be those set out in the Seller\u2019s quotation (if accepted by the Buyer) of the Buyer\u2019s order (if accepted by the Seller).<\/li><li>No order which has been accepted by the Seller may be canceled by the Buyer except with the agreement in Writing of the Seller and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labor and materials used), damages, charges and expenses incurred by the Seller as a result of cancellation.<\/li><\/ul>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fd28cb3 elementor-widget elementor-widget-heading\" data-id=\"fd28cb3\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">PRICE OF GOODS<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a048fcb elementor-widget elementor-widget-text-editor\" data-id=\"a048fcb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<ul><li>The price of the Goods shall be the Seller\u2019s quoted price, or where no price has been quoted (or a quoted price is no longer valid), the price listed in the Seller\u2019s published price list current at the date of dispatch of the goods. All prices quoted are valid for 30 days only or until earlier acceptance by the Buyer, after which time they may be altered by the Seller without giving notice to the Buyer.<\/li><li>The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, a significant increase in the costs of labour, materials or other costs of manufacture), , quantities or specification for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions.<\/li><li>In case of delivering premises are changed, the Seller agrees to deliver the Goods at the Buyer\u2019s premises, and the Buyer shall be liable to pay the Seller\u2019s charges of transport, packaging, and insurance.<\/li><li>The Seller is not liable for pricing errors.
